Terms of Service

• “Platform” means the whispr Labs website, applications, APIs and related services.
• “Services” means creator discovery, per-creator analytics reports, saved lists, collaboration and related tooling.
• “Content” means data, reports, text, and materials made available through the Platform.
• “Applicable Law” means all laws of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and the Consumer Protection Act, 2019.

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use the Services. If you are using the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. We do not knowingly provide Services to children (as defined under the Digital Personal Data Protection Act, 2023).

• You agree to provide accurate, current and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• You must notify us immediately of any unauthorised use of your account. We are not liable for any loss arising from your failure to safeguard your credentials.

whispr Labs provides a searchable creator database, analytical reports, and collaboration tools intended for creators, brands and agencies. Insights, scores, pricing estimates and benchmarks are provided for informational purposes only and do not constitute professional, financial or legal advice. You are solely responsible for decisions made based on the Content.

• Paid plans and per-report purchases are billed at the prices displayed at the time of purchase, in Indian Rupees (INR) unless stated otherwise.
• All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which is added at checkout and shown separately on your invoice.
• Payments are processed by third-party payment gateways compliant with the Reserve Bank of India (RBI) guidelines. We do not store your full card details.
• Plans are one-time purchases for a fixed term (1, 6 or 12 months). They do not auto-renew, and we do not hold a payment mandate against your card or account. Access ends when the term ends unless you choose to purchase again.

Because plans do not auto-renew, there is no recurring charge to cancel; you may simply stop using the Services at the end of your term. Except where required by Applicable Law, fees already paid and per-report unlocks that have been consumed are non-refundable. For billing disputes or refund requests, contact billing@whisprlabs.io within 7 days of the transaction, and we will review the request in good faith.

The full terms, including the cases in which we do refund and how long it takes, are set out in our Refund and Cancellation Policy, which forms part of these Terms.

In accordance with Rule 3(1)(b) of the IT (Intermediary Guidelines) Rules, 2021, you agree not to host, display, upload, publish, transmit or share any information or use the Platform to:

• Violate any Applicable Law or the rights (including intellectual property and privacy rights) of any third party;
• Scrape, resell, redistribute or create a competing dataset from the Content, or exceed rate limits or circumvent technical protections;
• Upload malware, or attempt to gain unauthorised access to the Platform, its systems or other users’ accounts;
• Post content that is defamatory, obscene, harmful to a child, or that impersonates another person;
• Use the Services for unlawful surveillance, harassment, or discrimination.

The Platform, its software, design, and all Content compiled by us are owned by or licensed to whispr Labs and are protected under the Copyright Act, 1957 and other Applicable Laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business or personal purposes, subject to these Terms. No other rights are granted.

Certain Content is derived from publicly available sources and third-party platforms (including Instagram / Meta). whispr Labs is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or Instagram. Such data may be inaccurate, incomplete or out of date, and is provided “as is”. You are responsible for ensuring your use of third-party data complies with the terms of the relevant platform and Applicable Law.

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure.

To the maximum extent permitted by Applicable Law, whispr Labs, its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill. Our aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless whispr Labs and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your Content, or your breach of these Terms or Applicable Law.

We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms or Applicable Law, or if required to protect the Platform or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnity) shall survive.

These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration provision below, the courts at Bengaluru, India shall have exclusive jurisdiction. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably; failing which, it shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Bengaluru, conducted in English.

In compliance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the details of the Grievance Officer are provided below. The Grievance Officer will acknowledge your complaint within 24 hours and endeavour to resolve it within 15 days of receipt.

We may update these Terms from time to time to reflect changes in law or our Services. The revised Terms will be posted on this page with an updated “Last updated” date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
